Introduction

We, Ocean Company Ltd., company no. 510023310 (the "Company" or "we"), operate the website at www.ocean-relocation.com (the "Site").

These terms of use set out the terms and conditions applying to any use of the Site. Please read them carefully before using the Site. Use of the Site constitutes full acceptance of the terms in their current version. You alone are responsible for being familiar with these terms as updated from time to time. If you do not agree, you may not use the Site.

Headings are for convenience only and shall not affect interpretation. References in the masculine include the feminine.

1. General

The Site is an information and marketing tool only, presenting the Company’s services in relocation, international shipping, property management, tax advisory and corporate mobility. Content is provided for information purposes only and does not constitute personal, legal, tax, financial or any other professional advice, nor a substitute for qualified advice. Any reliance on Site content is at your sole risk.

The Site is provided "as is" and the Company may change, remove or update content at any time without prior notice. In any conflict between Site information and a signed service agreement, the service agreement prevails.

2. Use of the Site

The right to use the Site, its information and content is granted for your personal and private use only. No commercial use is permitted, and you may not allow third parties to use them, whether for consideration or not. You undertake to use the Site and its content solely in accordance with the law and these terms.

Without derogating from the above, you may not copy, duplicate, lend, publish, distribute, sell or create derivative works from Site content in any form. Accessing the Site to develop a similar or competing site, including systematic data harvesting, is prohibited. Scanning, probing, breaching security systems, manipulating Site operation, or automated access via bots or similar tools is prohibited.

Introducing viruses, trojans, malware or any other malicious material is prohibited. Do not attempt unauthorised access to the Site, its hosting server or any connected database. The Site may not be used for any criminal offence, civil wrong or activity breaching applicable law, including the Israeli Computers Law 1995, Protection of Privacy Law 1981 and Copyright Law 2007.

The Company may block, restrict or terminate a user’s access at any time, at its sole discretion and without providing reasons.

3. Providing information

You undertake that information provided to the Company — via forms, email, phone calls, WhatsApp messages or any other channel — is true, accurate and complete, and that you are authorised to provide it, including information about third parties such as family members, employees and tenants. You will ensure those third parties are informed and consent as required by law. Incorrect information may impair the Company’s ability to deliver the services.

You confirm that no legal or contractual restriction prevents you from providing the information. You shall have no claim or demand against the Company for damage resulting from incorrect, incomplete, unauthorised or misleading information you provided.

4. Third parties

The Company uses external suppliers for some services, selected according to accepted professional standards. These suppliers act as independent parties and are responsible for the services they actually perform.

5. Limitation of liability

Use of the Site and services is at your sole risk. The Company shall not be liable, on any cause of action — contractual, tortious or otherwise — for any direct, indirect, incidental, special, punitive or consequential damage, including loss of revenue, profits, business opportunities, data, goodwill, distress, business interruption or computer failure, even if advised of the possibility of such damage. For business users (a corporation, company, non-profit, dealer or any legal entity acting in the course of its business) these limitations apply in full. For consumers under the Israeli Consumer Protection Law 1981, the limitations apply to the maximum extent permitted by law, and statutory cancellation rights under the Cancellation of Transaction Regulations 2010 remain in force.

The Company will make efforts to operate the Site efficiently and with high availability, but does not warrant uninterrupted operation, constant availability, freedom from harmful components, or immunity from unauthorised access, faults, bugs or failures.

6. Payments & cancellation

Payment terms and cancellation mechanisms are set in the relevant service agreement. Absent express agreement otherwise: payments for services already commenced are non-refundable; on client cancellation the client bears payment for services actually performed and costs incurred by the Company with external suppliers; cancellation due to force majeure or a governmental decision does not entitle a refund unless otherwise required by law; late payment entitles the Company to suspend or discontinue the service.

7. Indemnity

You undertake to indemnify the Company, its officers, employees and agents against any claim, damage, loss, liability and legal costs arising from unlawful use or use contrary to these terms; infringement of a third party’s intellectual property, privacy or reputation; provision of incorrect, misleading or unauthorised information; or breach of agreements with suppliers, tenants or authorities.

8. Intellectual property

The Site contains designs, texts, logos, images, software code and more, protected by copyright and other intellectual property rights. All rights in the Site and its content belong to the Company or are licensed to it. The Company’s trademarks, registered or not, are its exclusive property.

Reverse engineering, decompiling, decryption, scraping, framing or any attempt to access source code is prohibited. Do not remove, alter or obscure trademarks, copyright or proprietary notices. Use of the Company’s name, logo or similar marks requires our prior express written consent.

9. Privacy

Your personal information is processed under our Privacy Policy, available on the Site and forming an integral part of these terms.

10. Information security

Together with our hosting providers, we implement systems and procedures to secure use of the Site and minimise risk. However, we cannot guarantee immunity from breaches, faults, interception or unlawful access.

12. Miscellaneous

If you are under 18, you must obtain the approval of your parent or guardian before using the Site.

The Company may assign its rights and obligations under these terms to any third party, including in a merger, acquisition or sale of business, without your consent. You may not assign your rights without the Company’s prior written consent.

Provisions on intellectual property, limitation of liability, indemnity and governing law survive termination, whether by agreement, breach, operation of law or any other reason.

If any provision is held unlawful or unenforceable, the remaining provisions remain in full force. Failure to exercise a right is not a waiver of it. Any waiver, amendment or derogation is valid only if made expressly and in writing.

Operational messages sent by email or SMS — such as verification, scheduling and status updates — are not advertising. Marketing communications are sent subject to consent as required under the Israeli Communications Law 1982 and may be cancelled at any time.

We may amend these terms to reflect technical, operational or legal changes. Material changes take effect thirty (30) days after publication on the Site, unless the law requires otherwise. Continued use after the changes take effect constitutes acceptance of the amended terms.

13. Governing law & jurisdiction

These terms are governed solely by Israeli law. Exclusive jurisdiction lies with the competent courts of the Tel Aviv-Jaffa District, without derogating from the Company’s right to seek urgent relief in any other competent forum.
